Consumer Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Directo-powered storefronts made available through technology services provided by MarlinX Technologies Pte. Ltd. (UEN: 202544804E) (operating as “Directo”, “we”, “us”).
By continuing to access or use any Directo-powered storefront, you agree to be bound by these Terms as in force at that time. These Terms apply in addition to any terms, policies, or conditions imposed by the Merchant in respect of its own products or services.
1. Nature of the Service
Directo provides technology infrastructure, software interfaces, and operational workflows enabling Merchants to manage their own customer ordering channels and related business operations.
Directo does not operate as an online marketplace, marketplace operator, platform operator, merchant, distributor, reseller, or agent in respect of any products or services offered by Merchants. We do not buy, sell, supply, or fulfil any products or services offered through Directo-powered storefronts, and do not determine the pricing, availability, quality, legality, or suitability of any products or services offered by Merchants.
Any order placed through a Directo-powered storefront is entered into directly between you and the relevant Merchant operating that storefront. The relevant Merchant is solely responsible for all content, communications, links, files, products, services, transactions, fulfilment, delivery, refunds, and customer-related activities conducted through its storefront.
2. Eligibility
By accessing or using a Directo-powered storefront, you represent that you have the legal capacity to enter into a binding contract under applicable law. You must also comply with any applicable age or eligibility restrictions relating to products or services offered by the relevant Merchant. Age verification for age-restricted products is the sole responsibility of the Merchant, and Directo does not independently verify your age or eligibility.
3. Your Account
Some Directo-powered storefronts may allow or require you to create an account to access certain features or place orders.
You are responsible for maintaining the security of your account credentials and for activities carried out through your account. You should notify us promptly if you become aware of any unauthorised access to your account.
We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account has been used in breach of these Terms, including any fraudulent, abusive, or unlawful activity, without prior notice and without liability to you.
4. Transactions
4.1 Merchant Orders
Orders placed through a Directo-powered storefront are submitted directly to the relevant Merchant.
4.2 Disputes
Order-related disputes, including fulfilment, delivery, refunds, cancellations, and product or service issues, must be resolved directly between you and the relevant Merchant.
4.3 Payments
Payments made through a Directo-powered storefront are processed either by third-party payment service providers under their own terms and policies, or directly by the Merchant through their own payment arrangements. Directo does not collect, hold, or process payments on behalf of any Merchant.
4.4 Delivery
Where delivery is arranged through a third-party delivery provider, that provider is responsible for the delivery under its own terms and policies. Where the Merchant arranges delivery directly, the Merchant is solely responsible. Directo does not provide, manage, or bear any responsibility for delivery or fulfilment services.
5. Promotions and Vouchers
Merchants may offer promotions, discounts, or vouchers through their Directo-powered storefronts. All such promotions are issued by and remain the responsibility of the Merchant.
6. Intellectual Property
All intellectual property rights in Directo, including its software, interfaces, branding, trade marks, design elements, and related technology, belong to MarlinX Technologies Pte. Ltd. or its licensors.
Content, listings, images, branding, and materials displayed on a Merchant storefront belong to the relevant Merchant or its licensors.
7. Acceptable Use
You must not misuse any Directo-powered storefront, including by placing fraudulent orders, impersonating another person, or interfering with the operation, integrity, or security of any storefront or related systems.
8. Disclaimers
Directo-powered storefronts are provided on an “as is” and “as available” basis. To the extent permitted by applicable law, Directo does not make any representation or warranty regarding the availability, reliability, or operation of any Directo-powered storefront.
9. Limitation of Liability
To the extent permitted by applicable law, Directo shall not be liable for any loss, damage, cost, or expense arising out of or in connection with any products, services, transactions, fulfilment, delivery, refunds, customer service, deposits, prepayments, or advance payments provided by, collected by, or entered into with any Merchant, or arising from the closure, cessation of business, insolvency, or failure of any Merchant to fulfil its obligations.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
10. Third-Party Services
Directo-powered storefronts may integrate with third-party services. Your use of such services may be subject to separate terms or policies imposed by the relevant third party.
11. Privacy
Your use of Directo-powered storefronts is also subject to our Privacy Policy. Merchants may separately collect or control personal data in connection with their own products, services, and transactions. Each Merchant is independently responsible for its own compliance with applicable data protection and privacy laws.
12. Changes to These Terms
We may update these Terms from time to time. Updated Terms take effect when published, as indicated by the “Last updated” date at the top of this page. By continuing to access or use any Directo-powered storefront after updated Terms have been published, you agree to be bound by the revised Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Where your claim falls within the jurisdiction of the Small Claims Tribunal of Singapore, you may refer your dispute to the Small Claims Tribunal. For all other disputes, the parties submit to the non-exclusive jurisdiction of the courts of Singapore.
