Merchant Acceptable Use Policy

1. Overview
This Acceptable Use Policy (“AUP”) describes what you may not do when using Directo. It forms part of and is incorporated into the Merchant Terms of Service (“Terms”). Capitalised terms used but not defined here have the meanings given in the Terms.
This AUP applies to you and all Authorised Users. You are responsible for ensuring that everyone who accesses Directo on your behalf complies with this AUP.
2. Prohibited Uses
You must not use Directo to engage in, facilitate, or support any of the following:
- Using Directo in connection with illegal goods or services, or goods or services that require a regulatory licence, permit, or approval that you do not hold.
- Offering or selling age-restricted goods or services (including alcohol, tobacco, nicotine products, or adult content) without implementing appropriate age verification measures as required by applicable law, or without holding all licences and permits required for the sale of such goods or services.
- Trading in counterfeit, stolen, or infringing goods; or goods that infringe any patent, copyright, trade mark, trade secret, or other intellectual property right.
- Dealing in controlled drugs or substances under the Misuse of Drugs Act; firearms, weapons, or ammunition under the Arms Offences Act or Arms and Explosives Act; or protected species or their parts under the Endangered Species (Import and Export) Act.
- Facilitating illegal gambling, unlicensed money-lending, human trafficking, forced labour, or sexual exploitation.
- Promoting or operating any pyramid scheme or illegal multi-level marketing arrangement prohibited under the Multi-Level Marketing and Pyramid Selling (Prohibition) Act.
- Misrepresenting your identity, business registration, credentials, or the nature of your goods or services in a way that is false or fraudulent, including falsely claiming any religious dietary certification that you do not validly hold.
- Conducting, facilitating, or disguising any transaction that constitutes money laundering, terrorist financing, or other financial crime under applicable Singapore law.
- Operating a digital payment token service or cryptocurrency exchange activity that requires a licence under the Payment Services Act 2019 without holding the required licence.
- Collecting, using, or disclosing End Customer personal data in breach of your obligations under the Personal Data Protection Act 2012.
- Gaining unauthorised access to our systems or data, introducing malicious code, conducting denial-of-service attacks, reverse-engineering our software, or circumventing our security controls; or otherwise interfering with, disrupting, or impairing the integrity, security, availability, or performance of Directo or related infrastructure.
- Reselling, sublicensing, or providing access to Directo to any person who is not an Authorised User under your account.
- Misrepresenting your GST registration status, or charging GST on invoices, receipts, or listings where you are not a GST-registered person under the Goods and Services Tax Act 1993.
- Using Directo in any other way that violates applicable law or regulation.
3. Merchant Content
You are solely responsible for all content, materials, data, listings, descriptions, images, and communications published or transmitted through Directo. Such content must comply with applicable law.
We may remove, restrict access to, or require modification of content where we reasonably believe it violates this AUP, applicable law, or the Terms, including where we receive a complaint, report, legal notice, or other information suggesting potential unlawful, infringing, fraudulent, harmful, or abusive activity.
4. Enforcement
We may conduct reasonable reviews or investigations in connection with suspected breaches of this AUP. If we reasonably believe you have breached this AUP, we may suspend or terminate your access to Directo in accordance with the Terms, without prior notice where circumstances require immediate action.
We may also report your conduct to relevant regulatory or law enforcement authorities where we consider it appropriate or are required to do so by law. Enforcement actions under this AUP do not limit any other rights or remedies available to us under the Terms or applicable law.
We are not responsible for proactively or independently verifying the legality, quality, safety, or regulatory compliance of any Merchant activity, goods, or services.
5. Changes
We may update this AUP from time to time. We will provide reasonable prior notice of material changes via your registered account email address or through the Merchant dashboard, unless changes are required immediately for legal, regulatory, or security reasons. Your continued use of Directo after any update constitutes your acceptance of the revised AUP.
